1. Agreement to Terms
These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("Customer", "You") and Infoz Software Solution, operating as Poldu ("Company", "We", "Us", or "Our"), concerning your access to and use of the Poldu website, CRM portal, and cloud-connected Manufacturing Execution System (MES).
By accessing the platform at https://crm.poldu.com/ or https://poldu.com/, you acknowledge that you have read, understood, and agreed to be bound by all of these Terms and Conditions.
2. Intellectual Property Rights
Unless otherwise indicated, the platform, proprietary edge gateway firmware, web applications, algorithms, telemetry analytics, and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by Infoz Software Solution or licensed to us, and are protected by copyright and trademark laws.
3. User Representations & Plant Safety
By using the Platform, you represent and warrant that:
- All registration information you submit regarding your manufacturing facility, machines, and company details is true, accurate, current, and complete.
- You have the legal capacity and authority to bind your organization to these terms.
- Installation of any Poldu hardware or sensor tapping into industrial machinery will be performed by certified industrial electricians following manufacturer safety protocols.
4. Software Subscriptions & Payment Terms
Subscription fees for Poldu MES, analytics modules, and channel partner fees are billed in advance on an annual or quarterly basis as specified in your commercial proposal. Late payments may result in suspension of telemetry dashboards and reporting access after a 15-day grace period.
5. Data Ownership & Security
You retain full ownership of all machine sensor data, production counts, rejection logs, and operator timestamps collected from your factory floor. We process this data under strict confidentiality and encryption standards to deliver operational metrics and downtime diagnostics.
6. Limitation of Liability
In no event will Infoz Software Solution or its directors, employees, or partners be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, machine downtime, or physical production disruptions arising from platform usage.
7. Governing Law & Jurisdiction
These Terms shall be governed by and defined following the laws of India. Infoz Software Solution and yourself irrevocably consent that the courts of Mumbai, Maharashtra shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
